Description
Marie-Geneviève Masson practices primarily in the areas of corporate and commercial litigation. Her expertise in matters of corporate governance and securities law is frequently called upon in major files.
Her practice is characterized by issues involving shareholder disputes, insider trading, duties and obligations of directors and senior officers, and disclosure obligations in securities matters. She also advises and assists clients during investigations conducted by Québec's financial regulator, the Autorité des marchés financiers.
In addition she handles general commercial matters, works on class action files and represents commissions of inquiry in the context of judicial reviews before the Federal Courts.
Marie-Geneviève has represented many clients before both Québec's civil courts and the Federal Courts. Her skills are often put into practice in matters having significant public and political implications.

Representative mandates
Oppression remedy & cancellation of share issuance proceedings against Metro Inc., a major Canadian grocery retailer
We successfully defended against the claim of a group of shareholder merchants who maintained, In Québec Superior Court, that Metro's share-capital structure and the make-up of its board of directors breached their rights.
Commission of Inquiry into the Sponsorship Program and Advertising Activities (the Gomery Commission)
Appeared before the federal court for the judicial reviews instituted by Mr. Pelletier, Mr. Chrétien, and Mr. Gagliano against certain findings in the Gomery Commission report. This case required mastery of the applicable judicial review principles and the many items of evidence submitted to the Commission.
Actively participated in a major case involving insider trading
Appeared before the federal court in the most recent liability case involving UFFI.
$22 million securities litigation (illegal insider trading and disclosure)
Appeared before the Superior Court of Quebec in a civil liability lawsuit instituted against an individual. The case raised questions about how to interpret the Quebec Securities Act that have yet to be decided. It was the first civil lawsuit of its kind instituted in Quebec. In addition, this litigation raised important questions about corporate governance.
Crown liability
Appeared before the federal court in the latest liability case involving urea-formaldehyde foam insulation (UFFI). This case required mastery of highly specialized technical concepts.
